Updated Terms of Use for Northwest Corporate Services (NWCS).
Northwest Corporate Services provides registered agent services, formation services, and related consulting to nonprofit religious corporations and other entities. These Terms of Use govern your use of our services.
1. Disclaimer.
The information on this site and in our communications is not legal advice. We recommend you consult your own attorney for advice specific to your situation.
2. Intellectual Property
All content, materials, and trademarks on our website and in our services are owned by Northwest Corporate Services or licensed to us. You may not reproduce or use them without our written permission.
3. Registered Agent Services
When you engage NWCS as your registered agent, we agree to:
- Accept service of process and official notices on behalf of your entity.
- Forward mail and important state correspondence to the address you provide.
- Provide annual renewal reminders.
4. Non-Payment / Non-Renewal Policy
If you do not renew or pay the annual registered agent fee by the due date, Northwest Corporate Services will immediately cease acting as your registered agent. This includes:
- No longer accepting or forwarding mail correspondence.
- No longer handling state renewals or annual reports.
- No longer receiving or forwarding notifications from the Washington Secretary of State.
- No longer accepting service of process on your behalf.
You are solely responsible for appointing a new registered agent and maintaining compliance with Washington law.
5. Authorization for Filings
By engaging NWCS for registered agent services and renewal services for each entity, you expressly authorize and assent to NWCS filing the following on your behalf:
- The annual report for the entity with the Secretary of State.
- The optional Charities Registration Renewal (if applicable).
- Amendments and reinstatements (if applicable)
This authorization remains in effect until you cancel the registered agent services in writing.
6. General Disclaimers & Limitations
All services are provided “as is.” NWCS is not liable for any loss, damage, or penalty resulting from late payment, non-renewal, or failure to maintain a registered agent. You agree to indemnify and hold NWCS harmless from any claims arising from your failure to pay or renew services.
7. Governing Law
These terms are governed by the laws of the State of Washington. Any disputes will be resolved in the courts of Pierce County, Washington.
